1. Acceptance of Terms

By accessing or using the services provided by RevioHQ LLC ("Revio," "we," "us," or "our"), including our website, applications, automations, AI tools, and integrations (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, do not use our Services.

2. Services Description

Revio provides a SaaS platform offering tools for reputation management, automated reviews, CRM integrations, marketing automations, and AI-driven communication. We reserve the right to modify, suspend, or discontinue any feature or functionality of the Services at any time without prior notice. All new features or updates are subject to these Terms.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet this requirement and that all information you submit is truthful and accurate.

4. Account Registration and Security

You agree to:

Provide accurate, complete, and current information

Maintain the security and confidentiality of your login credentials

Accept responsibility for all activities under your account

Notify us immediately of any breach or suspected misuse

We reserve the right to terminate or suspend your account if you provide false or misleading information.

5. Acceptable Use Policy

Violations may result in immediate suspension or termination of your account and legal action, as necessary.

6. Subscription, Payments, and Refund Policy

Certain features or portions of the Services may require payment. By subscribing, you agree to:

Provide valid and updated billing information

Authorize recurring charges (monthly or annual) unless canceled in advance

Pay all applicable fees and taxes

We may offer a money-back guarantee for new customers for a limited period (e.g., 7 or 14 days), which will be explicitly stated at the time of purchase. After this period, all payments are non-refundable unless otherwise required by law. Revio reserves the right to change pricing or billing terms with reasonable notice.

7. Termination and Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, you will retain access to the Services through the end of your billing period unless stated otherwise.

We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, for any conduct that we believe violates these Terms or harms other users or our business.

8. Intellectual Property Rights

All content, trademarks, software, designs, and intellectual property on the Services are the exclusive property of Revio or its licensors. You may not reproduce, distribute, display, or exploit any part of the Services without express written consent. Any feedback or suggestions you provide may be used by us without compensation or obligation.

9. Data Privacy and Customer Obligations

Our Privacy Policy (available at https://reviohq.com/privacy-policy) governs how we collect and use your personal data. By using our Services, you agree to those practices.

If you collect or process personal data through our Services (e.g., review requests, CRM integrations), you are solely responsible for obtaining proper consent from your customers, in compliance with applicable laws (e.g., TCPA, CAN-SPAM, GDPR, CCPA). Revio is not responsible for your misuse of the Services or violations of applicable law.

10. Third-Party Integrations

The Services may integrate with third-party platforms and APIs such as Google, Meta (Facebook), OpenAI, Twilio, and others. We make no representations or warranties about the availability, functionality, or security of those third-party services. Your use of those services is subject to their separate terms and privacy policies.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee:

That the Services will be uninterrupted, error-free, or secure

That the data or results provided will be accurate or reliable

That defects will be corrected

You use the Services at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law, Revio and its affiliates shall not be liable for:

Any indirect, incidental, special, or consequential damages

Lost profits, loss of data, or business interruption

Any damages exceeding the amount paid by you to Revio in the 3 months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless Revio, its affiliates, officers, employees, and agents from any claim, demand, liability, damages, or expenses (including attorneys’ fees) arising from:

Your use or misuse of the Services

Your violation of these Terms

Your infringement of any intellectual property or privacy rights

14. Governing Law, Arbitration & Class Action Waiver

These Terms are governed by the laws of the State of California. Any dispute will be resolved by binding arbitration in Orange County, CA.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in any class or collective action.

Severability: If any provision is found invalid, the remaining provisions shall remain in full force and effect.

Force Majeure: We are not responsible for failure or delay caused by circumstances beyond our control (e.g., acts of God, internet outages, pandemic, war).

15. Modifications to Terms

We may revise these Terms at any time. The updated Terms will be posted on our website with the effective date. Continued use of the Services constitutes acceptance of the revised Terms.
